Board of Governors Meeting

Telephone Conference

I. Call to Order 12:02 p.m. – Meeting held by conference call due to inclement weather.  Present by Telephone:  Mike Branca (Chair), Shannon Briglia (Vice Chair), Jennifer Mahar (Secretary), Chris Boynton (Treasurer), Sean Howley (Immediate Past Chair), Barrett Lucy, Hanna Blake, Dan Fitch, Chris Hill, Scott Kowalski, Arnie Mason, Alison Mullins, Karla Soloria, Jonathan Straw, Spencer Wiegard, Randy Wintory, Dolly Shaffner.   Absent:  Mark Crawford, Judge Ballou, Judge Turk.

II. Approval of Minutes from November 6, 2014 – Minutes were approved unanimously, and reading dispensed with.

III. 2014 Membership/Financial Report – Chris Boynton provided a summary of the highlights of the Financial Report distributed to Board members before the meeting.    The budget remains strong for remaining activities planned for fiscal year. Current balance is $5,539.00.

IV. Chair’s Report – Mike Branca provided an overview of activities since the November 6, 2014 Board meeting.  Highlights included updated Handbook posted to section website, and publication of December 2014 issue of Virginia Lawyer featuring construction articles.  Mike reminded the Board that the section was not selected to sponsor a program at the 2015 Annual Meeting and further discussion was required on what impact this would have on the section’s business meeting. Mike then yielded the floor to the committee chairs for their reports.

V. Fall Seminar 2015 – Co-Chairs Chris Boynton and Randy Wintory reported that planning is underway for Fall Seminar 2015, with assistance from Shannon Briglia and Greg St. Ours.  The Committee is considering an advance practice clinic theme that would include 2-3 sessions focused on the anatomy of a construction trial.  Topics under consideration include BIM modeling, change order procedures, VA Rules of Evidence, and warranty issues.  The sticks and bricks lunch program will likely highlight the Silver Line metro project in NOVA.  Chris and Randy will prepare a draft program topic outline to circulate to the Board for comment.  The Board generally discussed continuing with the section’s Young Lawyers division meet and greet on Thursday evening.  Karla Soloria will again coordinate the planning of this event.

Shannon Briglia proposed hosting a breakfast meeting for section members who are in-house counsel as an avenue for increasing their participation in the section.  The Board was in favor of this idea.  Shannon will follow up with Dolly Shaffner on development of this concept.

Attendance at the Board dinner has outgrown the capacity at C&O Restaurant.  The Board agreed that a larger venue is required.  Shannon Briglia will lead the effort to identify a new restaurant venue in Charlottesville.

VI. Handbook Committee Report – Scott Kowalski confirmed that the updated Handbook is now available on the section website.  The username/password to access the Handbook is constructionmember/CL2015member.  The committee’s focus is now on improving the search terms used to identify new cases for future updates.

VII. Newsletter Committee Report - Barrett Lucy and Hanna Blake reported that efforts are underway for the Spring 2015 newsletter.  They plan to have the issue completed by April 3, 2015.  The newsletter will include summaries of recent cases and new legislation.  Barrett and Hanna requested that if anyone had interest in submitting a 2-page article to the newsletter to let them know.

VIII. 2015 Annual Meeting CLE Report - Because the section was not selected to sponsor a CLE at the annual meeting this year, the focus is looking ahead to 2016.  The section will team again with the Local Government Law Section and resubmit the showcase program proposal on ethics considerations when dealings with public officials and the VPPA.

 IX. Membership Committee Report - Alison Mullins reported that the Ethics CLE Program in the Hampton Roads area is scheduled for March 11, 2015, from 4-6 p.m.  The location will be at the offices of Vandeventer Black LLP or the Town Point Club, both in Norfolk, Virginia.  Speakers will be Honorable Douglas E. Miller and Honorable Thomas S. Shadrick (Ret.).

 Jonathan Straw reported that the section’s first regional happy hour is scheduled for January 22, 2015, at Bertucci’s in Old Town Alexandria from 4-7 p.m.  The format is free food with cash bar.

X. Publications Committee Report – Arnie Mason reported that the section has been assigned the December 2015 Virginia Lawyer magazine.  The section will be allowed three articles.  Effort is underway to select article topics and authors.

XI. Website Committee Report – Spencer Wiegard confirmed that the updated Handbook is available on the section website.

XII. New Business – Jennifer Mahar reported that the 4th Annual joint reception with the Maryland State Bar is set for May 7, 2015.  Proposals from Tysons Corner restaurants are under review.  Selection of sponsor is also in process.
