Annual meeting CLE program
The Corporate Counsel Section sponsored a well-attended  continuing legal education program, “Ethical Issues for Corporate Counsel,” presented by Robert A. Angle and David N. Anthony with the Richmond office of Troutman Sanders LLP.

The program addressed ethical issues confronting in-house counsel and lawyers who representing corporations and the pitfalls associated with current practice in an electronic age. Topics included auditor privilege and tax accrual work papers, the attorney-client privilege and draft Securities and Exchange Commission filings, ex parte communications with former employees of an adverse company, no right to appeal order compelling production of privileged materials, advance waivers of conflict of interest, and social networking pages and the pitfalls of social media.   

Special activities in 2010-11
A major emphasis this past year was the active participation by the section chair and board of governors member Andrew G. Fisher on a Virginia State Bar-Virginia Bar Association Joint Corporate Counsel Pro Bono Task Force. The work resulted in the Supreme Court of Virginia approving a rule change that permits corporate counsel to provide pro bono legal services without the need for supervision by another Virginia lawyer.

Member communication
The Corporate Counsel Section’s electronic mailing list was available to announce section news or events.  A letter was prepared for use in materials provided by the VSB office about the fees and events associated with the Supreme Court ceremony swearing-in ceremony for corporate counsel.

Law student seminars
The section continued hosting panel presentations at Virginia law schools to share information and insights on corporate counsel practice with interested students.  The program at the College of William and Mary was enthusiastically received by the students there.  Also, for the second year, the section participated in the University of Richmond School of Law’s career progressive dinner, hosted by the Office of Career Services.    

Annual Corporate Counsel Section regional luncheons
Regional member luncheons were again hosted by the Corporate Counsel Section in the Hampton Roads, Northern Virginia, and Richmond areas.   

Officers elected at the section’s annual membership meeting on June 17, 2011, for fiscal 2012 were Ronald E. Kuykendall, chair; Sandra J. McNinch, vice chair; and Frank J. Russo III, secretary. Noreen M. Tama is immediate past chair.
