Business Law

Matthew A. Clary, III, Chair

In June 2019, the Business Law Section (“Section”) had approximately 1,911 members, an increase of 69 over the prior year.  The Section is the 6th largest of the twenty sections of the Virginia State Bar.

Significant issues that arose and how they were resolved:

Having expanded the Board at the inception of my term, we turned our attention this year to stepping up our sponsorship of CLE presentations pertinent to the Section’s membership and geographically more diverse.  The Board’s consensus was that Section-sponsored CLEs, each of which were recorded and available for replay through Virginia CLE, provided a distinct value to Section members and could attract further members. The success of our efforts is discussed below under CLE Programs.

CLE Programs:

45th Annual Advanced Business Law Conference (Sept. 7-8, 2018), Wintergreen Resort:

The Section again co-sponsored the two-day Annual Advanced Business Law Conference along with Virginia CLE.  This year’s conference was entitled “Business Lawyering in the Innovation Economy: New Business Models + More Regulation = Opportunities and Challenges for Company Counsel.”  Section board members Steve Keeler and Karl Knoll participated as authors and speakers and the conference was moderated by Chair, Matt Clary.

30th Annual Business Law Seminar (March 8, 2019), Fairfax:

The Section successfully reestablished the Annual Business Law Seminar, last held in 2011 in conjunction with Virginia CLE at the Waterford Conference Center in Fairfax. The program entitled “Structuring a New Business - Protecting the Founders and Attracting Investors” was well attended and set the stage for a more successful annual advanced business law conference in the fall. Section board members Steve Keeler and Matt Clary participated as authors, speakers and the conference was moderated by Chair, Matt Clary.

2019 VSB Annual Meeting CLE Program:

The Section co-sponsored the CLE course at the VSB Annual Meeting entitled, “Why Go to Europe When Europe Comes to You?  U.S. Data Protection in a GDPR World” along with the IP and Corporate Counsel sections.  The CLE was presented by Corina San Marina of Willcox & Savage; Gerard M. Stegmaier of Reed Smith; and Michael Bahar of Eversheds Sutherland and the conference was moderated by Chair, Matt Clary.

Section Board and Officers for 2019-2020

Chair, Steven J. Keeler; Vice Chair, Karl T. Knoll; Secretary, J. Brent Justus; and Immediate Past Chair, Matthew A. Clary, III

Continuing Board Members:  John M. Huddle, Steven L. Brinker and Autumn R. Visser.

Although at the end of the FY the Board lost the services of Dana McDaniel due to conflicting commitments, a number of section members who attended the luncheon at the Annual Meeting in Virginia Beach have expressed an interest in becoming more active in the Section and discussion with those members is ongoing.  As Dana had made efforts toward improving the Section’s website, he will be sorely missed, and we will be seeking a replacement.

Respectfully submitted:
