The Chair called the meeting of the Board of Governors (the “Board”) to order. The meeting was held in Richmond, Virginia at the Virginia General Assembly Building.


Approval of Minutes. The Board approved the minutes from the December 7th, 2005 meeting.


Membership Report. Catherine reported that the Section has 1196 members.


Financial/ Budget Report. Catherine distributed a written budget report showing a budget balance for the Section of $14,571.26.


Corporate Counsel Seminars at Law Schools. Cham Light will host a seminar at Liberty University on April 12 th with Douglas Callaway. Chris Floyd is planning a March 17 th in-house seminar with Regent University. Randy Noe held a seminar at William and Mary on March 1 st which was well received. Gunet Beshah is hosting a seminar at the University of Richmond on April 14 between 12 p.m. – 1 p.m. Ed Beck is hosting a seminar at the University of Virginia with Eileen Johnson and Scott Snyder.


Spring Luncheons. VSB Corporate Counsel luncheons will be held around the second week of May. Doug Callaway and Phil Hart will host the Richmond luncheon on May 18 th. . Randy Noe will host the Tidewater luncheon on May 18. Britt Murray and Scott Snyder will host the Northern Virginia luncheon May 18 th, 2006 at Clyde’s Tavern. Champ Light will host the Southwest Luncheon.


CLE Committee. Eileen Johnson reported that the Corporate Counsel Section will co-sponsor with the Intellectual Property Section a CLE at the annual meeting beginning 9-10:30 a.m. with an ethics program to follow at 11-12:30 p.m.


Section Newsletter. David Rosenfeld reported the next newsletter will be sent out before the end of the month.


Web Regional Email List. Chris Floyd is working with the webmaster to post information. She will update the site with a list of the CLE provided since December of 2004. The Board discussed the possibility of posting internships and job postings on the website and perhaps in the newsletter.


New Business. The Board appointed a Nominating Committee to be chaired by Eileen Johnson. Philip Hart, and David Rosenfeld, rotate off and Britt Murray has resigned.


The Supreme Court of Virginia has authorized limited pro-bono activities for in-house counsel under the aegis of a supervising attorney. This rule will be effective May 1, 2006. In addition, the Court adopted the pro-hac vice rule which allows only 4 (four) appearances a year for non-admitted attorneys.


The next meeting shall be the annual meeting in Virginia Beach.


There being no other business, the meeting was adjourned.
