The Chair called the meeting of the Board of Governors (the "Board") to order. The meeting was held in McLean, Virginia, at the office of Holland & Knight. A CLE program on insurance coverage for in-house counsel was presented before the meeting.


Approval of Minutes. The minutes of the September 11, 2003, meeting were read and adopted.


Membership Report. Ms. Shaffner reported that the section currently has 951 members.


Financial/Budget Report. Ms. Shaffner reported that the section has budget funds remaining of $12,836.93. Travel is the largest expense category to date.


New Corporate Counsel Rule. The Chair reported on the swearing in procedure for new members under the Corporate Counsel Rule. Ms. Shaffner confirmed that all new attorneys are receiving letters with information on the admission ceremony and that Richmond area members of the Corporate Counsel Section are volunteering as sponsors for the admission ceremonies.


Section Newsletter. Mr. Rosenfeld reported that the fall issue of the newsletter was in the mail. He thanked those Board members who contributed articles and reminded the others of their commitment to provide him with material.


Regional Spring Luncheons. The organizers of each of the regional luncheons for Thursday, May 20, reported on their planning efforts. The Board agreed to send out one notice for all luncheons again this year.


Web Site. Ms. Johnson reported that Ms. Shaffner had located someone who could serve as the webmaster for the site and update it to the Board’s specifications. After a brief discussion, the Board agreed to retain the services of Alison Anderson with a cap of $2,000 for initial site development work. Ms. Johnson shared a report on other state bar corporate counsel section websites. The Virginia State Bar Corporate Counsel Section’s website is one of the best in terms of content provided to members.


Annual Meeting CLE. The committee planning for the CLE program reported that it looked like our proposed topic, "An Update on the Do Not Call Act," had been approved. The Chair will receive official notification from the VSB in the near future.  


Law School Writing Competition. The flyers announcing the competition are being distributed in the next couple of weeks. Board members volunteered to distribute the flyers to law schools located near them. The entries are due Feb. 15. Ms. Kronau, Ms. Kleine and Mr. Summy are the judges.


New Business. There was no new business.


Next Meeting. The next meeting is scheduled to be in Richmond at the Virginia State Bar office on March 18, 2004.


There being no other business, the meeting was adjourned.
