MINUTES OF THE MEETING OF THE BOARD OF GOVERNORS OF THE REAL PROPERTY SECTION OF THE VIRGINIA STATE BAR

Charlottesville, Virginia September 25, 1999

The Fall Meeting of the Board of Governors of the Real Property Section of the Virginia State Bar was held on Saturday, September 29, 1999, at 10:00 a.m., in Room WB 105 of the University Virginia Law School in Charlottesville, Virginia.

The following persons were in attendance: Susan Hepner, Lawrence Schonberger, Richard Mendelson, Howard Gordon, Steve Wood, Rick Richmond, Larry McElwain, Dave Schultz, Manus E. Holmes, Lawrence A. Daughtrey, Gary Peterson, Rick Chess, Leslie Argenta, Ed Waugaman, Minerva Andrews, John David Epperly and Susan Pesner. Susan Hepner, President, chaired the meeting. Lawrence Schonberger, Secretary, kept the minutes.

Ms. Hepner called the meeting to order.

Ms. Hepner introduced Mr. Holmes as a candidate to be a new Area Representative, and upon motion duly made by Ms. Hepner and seconded by many it was unanimously approved that Mr. Holmes is appointed as an Area Representative for the Real Property Section of the Virginia State Bar.

Mr. Richmond nominated Mr. Joe Cochran to become an Area Representative, and upon motion duly made by Mr. Richmond and seconded by many it was unanimously approved that Mr. Cochran is appointed as an Area Representative for the Real Property Section of the Virginia State Bar.

Ms. Hepner presented a report and led a discussion on the need for a liaison to the Old Dominion Bar Association. Mr. Holmes volunteered to act as liaison and upon motion duly made by Mr. Schonberger and seconded by many it was unanimously approved that Mr. Holmes is appointed as the Real Property Section’s liaison to the Old Dominion Bar Association.

Ms. Hepner presented a report on the translation into foreign languages and distribution of the Homebuyer’s Manual.

Mr. Schonberger presented a report and led a discussion on pending articles for the November 1999 issue of The Fee Simple. Mr. Peterson and Mr. Waugaman each suggested an article be written on changes to title policy jackets.

Mr. Epperly presented the minutes of the June 18, 1999 meeting of the Real Property Section and upon motion duly made by Mr. Peterson and seconded by many the minutes were unanimously approved by those who attended the June 18, 1999 meeting. Those not in attendance at the June 18, 1999 meeting abstained.

Mr. Epperly presented a report and led a discussion on the Annual Real Estate Practice Seminar and announced that Court Traver will no longer be presenting the annual Virginia Code and case law update. There followed a discussion on possible seminar topics; lectures on foreclosures and changes to title policy forms were proposed.

Mr. Gordon presented a report on the Advanced Real Estate Practice Seminar.

Ms. Hepner presented a report and led a discussion on the Real Property Section’s website and the VSB Technology Task Force.

Ms. Hepner led a discussion on restructuring subcommittees and drafting a general subcommittee purpose policy statement. It was proposed that the policy provide that every area representative serve on at least one subcommittee, that each subcommittee present a few summary paragraphs for each issue of the Fee Simple on current happenings in their area of the law which would be included in a "Current Events/News" section of the publication, that each subcommittee participate in planing a CLE topic for an Annual Real Estate Seminar, and that each subcommittee chairperson present an annual summary report on the activities of the subcommittee. Mr. Schonberger agreed to work on a draft of the policy statement for review and comment from the board members and area representatives.

Ms. Hepner reported that Mr. Ray King will be the section’s liaison to Bar Council.

Mr. Waugaman presented a report on the activities of the First Day Practice Seminar Subcommittee stating that the Real Estate Section continued to receive much attention at the seminar.

Mr. Richmond presented a report and led a discussion on the revised residential real estate contract. There followed a discussion on the necessity of have the contract executed under seal.

Ms. Pesner presented a report on the Ethics subcommittee and proposed that the subcommittee prepare a "self audit" for real estate attorneys.

Mr. Chess presented a report on the Housing subcommittee and proposed that the subcommittee work on two topics for either a CLE seminar or for The Fee Simple; current issues regarding the Landlord Tenant Act and the Condominium Act, and current issues regarding the acquisition of multi-family housing.

Ms. Pesner led a discussion on participating in a joint seminar with the Land Use section of the Virginia State Bar at the June meeting and proposed that "Proffers" be the topic.

Ms. Hepner led a discussion on attendance guidelines and indicated that the Section’s Bylaws provide that if a board member misses two consecutive meetings without a reasonable excuse then that member should be removed from the board. There followed a discussion on whether this policy should apply to Area Representatives and a majority agreed that this policy should be made applicable to Area Representatives.

There being no further business, upon motion duly made and seconded, the meeting was adjourned at 11:45 a.m.

The Winter Meeting of the Board of Governors of the Real Property Section of the Virginia State Bar was held on Friday, January 14, 2000, at 2:00 p.m., in Room 127 of the law school at the College of William and Mary in Williamsburg, Virginia.

The following persons were in attendance: Susan Siegfried, Lawrence Schonberger, Chris Dillon, Jim McCauley, Louis Rogers, Harry Purkey, Howard Gordon, Michael Barney, Joe Cochran, JB Lonergan, Neil Kessler, Wayne Glass, Hugh Harrison, Robin Alsop, Michael Smith, Paula Caplinger, Rick Richmond, Larry McElwain, Dave Schultz, Steven W. Blaine, Manus E. Holmes, Rick Chess, Leslie Argenta, Ed Waugaman, Minerva Andrews, John David Epperly, Susan Pesner, Christina Meier, Ronald Sonn, Chip Land, Hume Taylor, David Helscher, Philip Rome, Robert Barclay, Randy Howard, Doug Dewing, John Toole, Jane Marum Roush and Rob Pearsall. Also in attendance was Tom Michie. Susan Siegfried, President, chaired the meeting. Lawrence Schonberger, Secretary, kept the minutes.

Ms. Siegfried called the meeting to order.

Ms. Siegfried presented the minutes of the September 25, 1999 meeting of the Real Property Section and upon motion duly made and seconded the minutes were unanimously approved by those who attended the September 25, 1999 meeting. Those not in attendance at the September 25, 1999 meeting abstained.

Ms. Siegfried presented the financial report.

Ms. Pesner presented the membership report.

Mr. Michie presented a report and led a discussion on the study by the Wills, Estates and Trust section of the Virginia Bar Association regarding the elimination of the distinction between real and personal property in the administration of estates. Mr. Rome proposed that a joint committee of the Virginia State Bar Real Property Section and the Virginia Bar Association Real Property Section meet with the Wills, Estates and Trust Section of the Virginia Bar Association to further study this issue and upon motion duly made and seconded it was unanimously resolved that Mr. Rome, Mr. Epperly and Ms. Meier are appointed, as the Virginia State Bar Real Property Section representatives, to the aforesaid committee.

Ms. Alsop presented a report and led a discussion on the status of the technology initiative being implemented by the Office of the Clerk of the Circuit Court for Fairfax County, Virginia.

Ms. Siegfried presented a report on the section’s web site.

Ms. Butler presented a report on the articles scheduled for the next edition of The Fee Simple.

Mr. Epperly presented a report and led a discussion on the topics for the Annual Real Estate Practice Seminar. Mr. Epperly recommended paying for the research necessary for the Annual Law Update and upon motion duly made and seconded it was unanimously resolved that up to $2,000.00 of the section’s funds may be used to pay for research services.

Mr. Gordon presented a report on the topics for the Advanced Real Estate Practice Seminar.

Mr. Epperly presented a report on the topics for the Annual Mid-Year Legal Seminar.

Mr. Richmond presented a report on the Commercial Real Estate Handbook.

Mr. Schonberger presented a report and led a discussion on the status of the subcommittee policy statement.

Mr. Rome presented a report on behalf of the Current Developments and Legislation Subcommittee.

Mr. Chess presented a report on behalf of the Housing Subcommittee.

Mr. Blaine presented a report on behalf of the Land Use Subcommittee.

Mr. Waugaman presented a report on behalf of the First Day in Practice Subcommittee.

Ms. Siegfried reported that the Title Insurance Subcommittee needs a chairperson.

Mr. Waugaman was appointed the new chair of the Subcommittee.

Mr. Richmond presented a report on behalf of the VBA Forms Subcommittee.

Mr. Holmes presented a liaison report on the Old Dominion Bar Association.

There being no further business, upon motion duly made and seconded, the meeting was adjourned at 3:45 p.m.

The Spring Meeting of the Board of Governors of the Real Property Section of the Virginia State Bar was held on Saturday, April 8, 2000, at 10:00 a.m., in Conference Room 2 of the Virginia Housing Development Authority, 601 South Belvidere Street, Richmond, Virginia.

The following persons were in attendance: Susan Siegfried, Lawrence Schonberger, Harry Purkey, Wayne Glass, Hugh Harrison, Robin Alsop, R. Michael Smith, Paula Caplinger, Rick Richmond, Larry McElwain, Leslie Argenta, Christina Meier, Chip Land, Randy Howard, Doug Dewing, Jane Marum Roush, Rob Pearsall, David Stroh, Page Williams, Steve Romine, Kathleen H. Michener, Craig Erdmann, Kirk Levy, Lawrence A. Daugherty, Grice McMullan, Eric Zimmerman, Richard Mendelson, Ray W. King and Steve Wood. Also in attendance were Hugh Harrison and Chuck Rothenberg, both of the Virginia Bar Association Real Estate Section. Susan Siegfried, President, chaired the meeting. Lawrence Schonberger, Secretary, kept the minutes.

Ms. Siegfried called the meeting to order.

Ms. Siegfried presented the minutes of the January 14, 2000 meeting of the Real Property Section and upon motion duly made and seconded the minutes were unanimously approved by those who attended the January 14, 2000 meeting. Those not in attendance at the January 14, 2000 meeting abstained.

Ms. Siegfried presented the financial report.

Ms. Siegfried introduced Ms. Williams and Ms. Michener as nominees as Area Representatives, and upon motion duly made and seconded, it was unanimously

RESOLVED, that Page Williams and Kathleen H. Michener are hereby appointed Area Representatives for the Real Property Section of the Virginia State Bar.

Ms. Siegfried presented a report and led a discussion on the development of the section’s web site design by a company known as VIPNET, and upon motion duly made and seconded it was unanimously

RESOLVED, that the Real Property Section hereby requests that the Virginia State Bar enter into a contract with VIPNET for the creation and design of the Real Property Section’s website.

Ms. Siegfried presented a report and led a discussion on the Virginia State Bar’s technology task force, asked for volunteers from the section to serve on the task force and announced that Mr. Dewing has agreed to chair the section’s technology subcommittee.

Mr. Schonberger presented a report on the articles scheduled for the next edition of the FEE SIMPLE, requested additional articles from the section’s members and asked members to contact Linda Butler directly regarding the submission of additional articles.

Ms. Siegfried presented a report on the topics for the Annual Real Estate Practice Seminar and the Summer Bar Meeting Seminar, and commended Mr. John David Epperly for his hard work on organizing these events.

Ms. Siegfried presented a report and led a discussion on the recently held Advanced Real Estate Practice Seminar. It was proposed that the Spring Meeting of the Real Property Section be held simultaneously with the seminar and that the seminar be held at another location, such as the Boar’s Head Inn. No formal action was taken.

Ms. Siegfried led a discussion regarding the section and the Virginia Bar Association real estate section jointly nominating Court Traver for the Gardner G. DeMallie, Jr. Award and upon motion duly made and seconded it was unanimously

RESOLVED, that Susan Siegfried, on behalf of the Real Property Section of the Virginia State Bar shall draft, with Hugh Harrison of the real estate section of the Virginia Bar Association, the nomination of Court Traver for the Gardner G. DeMallie, Jr. Award.

Mr. Richmond presented a report on the Commercial Real Estate Handbook.

Ms. Siegfried presented a report and led a discussion on the proposed subcommittee policy statement, and upon motion duly made and seconded the following subcommittee policy statement was unanimously adopted:

SUBCOMMITTEE POLICY STATEMENT FOR THE REAL PROPERTY SECTION OF THE VIRGINIA STATE BAR

WHEREAS, the Real Property Section (the "Section") of the Virginia State Bar maintains subcommittees (the "Subcommittees") for the benefit of its members; and

WHEREAS, the purpose of the Subcommittees is to provide information and education to its members, and potential members, on areas of interest related to real property, including, but not limited to, ethics, bankruptcy, housing, information and technology, land use, title insurance, legal forms, small firm and solo practice, membership and first day in practice; and

WHEREAS it is the desire of the Section to encourage the participation of as many members as possible in leadership activities, and to encourage action and new ideas on the part of the Subcommittees; and

WHEREAS, it is the desire of the Section to adopt a policy statement for guidance regarding the purpose, organization, operation of the Subcommittees.

NOW, THEREFORE, be it RESOLVED:

The purpose of the Section’s Subcommittees shall be for the education and professional support of the Section’s membership. The Membership and First Day in Practice Subcommittees shall also encourage enrollment of new members in the Section.

Each Area Representative shall be a member of a Subcommittee. Each Subcommittee chairperson shall serve for two years.

Each Subcommittee chairperson shall deliver a report at each meeting of the Section’s Board of Governors on the Subcommittee’s activities. Each Subcommittee shall submit at least one article a year, and periodic updates as may be appropriate, for the Fee Simple, the Section’s newsletter, reporting on recent legislation, case law and legal events related to the Subcommittee’s area of the law or activities. Each Subcommittee is encouraged to participate in a least one CLE Seminar annually.

Each Subcommittee shall meet at least once annually either in person or telephonically and the Chairperson shall deliver a report on the Subcommittee’s meeting at the following Board of Governor’s meeting

Ms. Siegfried led a discussion on creating a policy statement on the role of Area Representative for publication in the Fee Simple, and upon motion duly made and seconded it was unanimously

RESOLVED, Steve Wood shall draft an Area Representative policy statement setting forth the duties of an Area Representative to be presented at the next meeting of the Board of Governors.

Mr. Wood presented a report on behalf of the Bankruptcy Subcommittee.

Mr. Romine presented a report on behalf of the Environmental Subcommittee.

Mr. Dewing presented a report on behalf of the Information and Technology Subcommittee and Mr. King presented a report on electronic filing pilot programs.

Mr. Howard presented a report on behalf of the Membership Subcommittee. According to Mr. Howard the section’s membership is the third largest.

Mr. Richmond presented a report and led a discussion on the translation and distribution of the home buyers manual.

Ms. Siegfried led a discussion on nominating new members for the Board of Directors.

Mr. McMullan presented a report and led a discussion on the proposed changes to Virginia Code Section 64.1 et seq.

There being no further business, upon motion duly made and seconded, the meeting was adjourned at 12:00 noon.

The Summer Meeting of the Board of Governors of the Real Property Section of the Virginia State Bar was held on Friday, June 16,2000, at 12:15 p.m., in Skytop Room of the Holiday Inn Sunspree, Virginia Beach, Virginia.

The following persons were in attendance: Susan Siegfried, Lawrence Schonberger, Harry Purkey, Wayne Glass, Paula Caplinger, Larry McElwain, Douglass Dewing, Steve Romine, Grice McMullan, Richard Mendelson, Joe Cochran, Gary Peterson, Howard Gordon, Steven Blame, Steve Wood, John David Epperly, Rick Chess, Mike Pace and Susan Pesner. Susan Siegfried, President, chaired the meeting. Lawrence Schonberger, Secretary, kept the minutes.

Ms. Siegfried called the meeting to order.

Ms. Siegfried presented the minutes of the April 8, 2000 meeting of the Real Property Section and upon motion duly made and seconded the minutes were unanimously approved by those who attended the April 8, 2000 meeting. Those not in attendance at the April 8, 2000 meeting abstained.

Ms. Siegfried presented the financial report.

Mr. Epperly presented a report on the expenditure and outstanding balance due to the National Legal Research Group for researching and preparing the written materials for the current developments in the law portion of the 2000 Annual Real Estate Law Seminar, and upon motion duly made and seconded, it was unanimously

RESOLVED, that the Chairperson is hereby authorized to pay the full amount due to the National Legal Research Group for its research and preparation of the written materials for the current developments in the law portion of the 2000 Annual Real Estate Law Seminar.

Mr. Epperly led a discussion on authorizing payment for the research and preparation of materials for future current development in the law portions of the Annual Real Estate Law Seminar, and upon motion duly made and seconded, it was unanimously

RESOLVED, the Board of Governors is hereby authorized to spend up to $5,000.00 annually for research and preparation of materials for the current developments in the law portion of the Annual Real Estate Law Seminar.

Mr. Epperly presented a report on the membership.

Ms. Siegfried announced that based on the joint nomination of the Real Property Section of the Virginia State Bar and the Real Property Section of the Virginia Bar Association, Court Traver has been awarded the Gardner G. DeMallie, Jr. Award.

Ms. Siegfried announced that Steve Gregory had been recommended as 6n area representative and upon motion made by Mr. Peterson and duly seconded, it was unanimously

RESOLVED, that Steve Gregory is hereby appointed an Area Representative for the Real Property Section of the Virginia State Bar.

Mr. Chess presented a report on a proposed Housing Subcommittee project.

Ms. Siegfried announced that Mr. Wood has drafted an Area Representative policy which shall be presented at the next meeting of the Board of Governors.

Ms. Siegfried announced that Mr. Dewing has established the Real Property Section's website with the help of VIPNET.

Ms. Siegfried presented the report of the Nominating Committee which proposed the following:

(i) as candidates to fill two vacant board seats: Steve Blaine and Douglass Dewing

(ii) for re-appointment to the board for a second term: John David Epperly and Lawrence Schonberger; and

(iii) as officers of the board: John David Epperly, Chair; Lawrence Schonberger, Vice-Chair; Steve Romine, Secretary; and upon motion duly made and seconded, it was unanimously

RESOLVED, that Steve Blaine is elected to the board, Douglass Dewing is elected to the board, John David Epperly and Lawrence Schonberger are re-elected to the board, John David Epperly is elected Chair, Lawrence Schonberger is elected Vice-Chair, and Steve Romine is elected Secretary.

There being no further business, upon motion duly made and seconded, the meeting was adjourned at 1:15 p.m.
