by In-House Counsel of a Bank Holding Company.
It
is not the unauthorized practice of law for in-house
counsel to represent a bank holding company and
its affiliates in judicial proceedings; in preparing,
signing and filing pleadings; and in appearing
before court. The in-house legal staff may also
prepare loan documents on behalf of the holding
company or its affiliates. The holding company
may collect a fee from its customers for such
legal services so long as the fee collected bears
a reasonable relationship to the legal expense
