S Corporation Basics and Transaction Considerations—Part 1

In the initial webinar, attendees will learn about the basic requirements for S corporation qualification and maintaining S corporation qualification, which is critical both to the current tax consequences of the S corporation as well as to a potential sale of the S corporation. Many S corporations inadvertently jeopardize their S corporation classification due to insufficient understanding of the rules related to maintaining their S corporation classification.

Registration for part two of the webinar will open at a later date, and attendance at part one is not a prerequisite to register. In the second webinar, we will cover the deemed asset sale option for the sale of S corporation stock as well as an alternative structure used in S corporation transactions to achieve a tax step-up in the assets of the S corporation. In addition, we will flag several key aspects to these transactions that can make the deemed asset sale or actual asset sale undesirable and potential ways to address these pitfalls.
